Lodge is operated by ZenMail LLC, a Florida limited liability company. These Terms of Service explain the agreement between ZenMail LLC (“we,” “us,” or “our”) and the person or organization using Lodge (“you”).

These terms cover withlodge.com, the Lodge applications and workspace, and related services we make available under these terms (together, the “Services”).

1. Your agreement with us

By accepting these terms or accessing or using the Services, you agree to them. If you do not agree, do not use the Services. You must be at least 18 and have the legal capacity to enter this agreement.

If you accept for a company or another organization, you confirm that you are authorized to bind it. In that case, “you” includes that organization, and its authorized users must follow these terms.

A separate agreement signed by you and ZenMail LLC, including an order form or services agreement, controls where it conflicts with these terms for the services it covers. An agreed data processing addendum controls the processing matters within its scope. The ZenMail email application is covered by its own terms, not these Lodge terms.

2. Using Lodge

Lodge brings people and AI together to plan, align, track, and execute work. Available capabilities depend on your plan, deployment, connected tools, and the permissions you or your organization grant. Some work runs on your device; shared work and hosted execution involve hosted systems.

While you comply with this agreement, we give you permission to access the Services and use the Lodge software for your own work or your organization’s internal business, within your plan’s limits. This permission is non-exclusive and cannot be resold, sublicensed, or transferred except as we agree or applicable law allows. Separate open-source licenses continue to govern the components they cover.

Your organization chooses its workspace administrators and access policies. Administrators may invite or remove members, change permissions, manage connections, and control company information. Keep your account information accurate, protect your devices and credentials, and tell us promptly if you suspect unauthorized access.

3. Your content and permissions

You retain your rights in the documents, messages, files, instructions, and other material you bring to Lodge (“Your Content”). As between you and us, you also retain any rights you have in results generated from Your Content. This does not create copyright or other rights where the law does not recognize them, or transfer rights belonging to someone else.

You allow us to host, process, transmit, and display Your Content only as needed to provide, support, and secure the Services, carry out your instructions, and meet our legal obligations. This permission includes using service providers for those purposes. It does not give us ownership of Your Content or permission to use private workspace content to train general-purpose AI models.

You are responsible for having the rights and permissions needed to supply Your Content and to let your users and connected services process it. Consider other people’s privacy, your organization’s confidentiality duties, and any restrictions that apply to regulated or sensitive information before sharing it. Arrange any additional contractual safeguards required for your use before providing that information.

4. AI, tools, and human oversight

AI can produce inaccurate, incomplete, biased, or similar results for different users. Review its work before relying on it. Lodge’s output is not a substitute for professional judgment or advice, including legal, medical, financial, or other regulated advice.

An agent or connected tool can act on systems, files, and accounts within the access you authorize. You are responsible for choosing appropriate permissions, approval requirements, spending limits, and human review. Review consequential actions such as sending communications, changing records, publishing work, or making commitments. A stop or revocation request cannot necessarily reverse an action already completed.

Do not use Lodge as the sole basis for decisions with significant effects on someone’s employment, health, legal rights, credit, or safety. You remain responsible for required human oversight, notices, permissions, and compliance in your particular use.

5. Connected services and AI providers

Lodge can work with accounts, models, agents, applications, and infrastructure supplied by other companies. Connecting them may send the context needed for your request—including instructions, files, conversation content, and tool results—to those services. Their terms, privacy practices, settings, and charges apply to your use of them.

You are responsible for your connected accounts, provider keys, and the access you grant. Provider outages, changes, or restrictions can affect available features. Disconnecting a service prevents further authorized use through that connection but does not erase information already received by that provider or undo completed actions.

6. Acceptable use

Use Lodge lawfully and respect the people and systems your work affects. You must not:

  • Use the Services to commit fraud, distribute malware, send unlawful spam, impersonate others deceptively, or violate intellectual property, privacy, or other rights.
  • Access accounts, data, or systems without authorization, or bypass authentication, permissions, approval requirements, metering, or security controls.
  • Disrupt the Services, overload infrastructure, extract other customers’ information, or conduct security testing without permission.
  • Resell the Services or copy or reverse engineer proprietary software except under an express license or where the law permits it.
  • Use the Services in violation of applicable sanctions, export restrictions, or the requirements of a connected service.

7. Plans, payment, and cancellation

Paid access, capacity, hosted execution, and implementation services require the pricing and payment arrangements you accept in an order or purchase process. A request for access or an email inquiry does not authorize a charge. The applicable order identifies the fees, billing period, usage limits, taxes, and any renewal terms.

AI-provider usage and hosted execution may be charged separately from a workspace plan. Check the applicable pricing and any third-party provider agreement before enabling them. We will disclose new recurring charges or changes to renewal pricing before they apply; these terms do not authorize undisclosed charges.

To cancel, use any cancellation method provided with your plan or contact hello@withlodge.com. The timing and financial effect of cancellation follow your accepted order and applicable law. Cancellation does not waive amounts already due. Any refund commitments in your order, and rights that cannot be waived by law, continue to apply.

Free access, trials, and beta availability may have limits or end. We will not convert free access into paid access without your agreement. Rollout, training, and other professional services have the scope, responsibilities, and deliverables stated in the applicable written agreement.

8. Security and confidentiality

We use safeguards designed to protect the Services and information entrusted to us. Security also depends on your devices, permissions, connected providers, and how you use the product. No software or transmission method can guarantee complete security.

We treat nonpublic customer workspace information as confidential. We limit access to people and providers who need it to deliver or secure the Services, support you, or comply with law, subject to appropriate duties of confidentiality. You must likewise protect nonpublic security or business information we share with you. Information lawfully known, independently developed, received without a duty of confidentiality, or made public without a breach is not subject to this obligation.

The security section of our website describes product controls. It does not create a certification, service-level guarantee, or suitability commitment beyond a written agreement with you. If you have a security concern, contact hello@withlodge.com.

9. Changes, beta features, and availability

We may update the Services to improve them, maintain compatibility, or address security and legal requirements. Beta and preview capabilities can change or be withdrawn, and should not be your only copy of important work. We will give reasonable notice of material changes to paid services where practicable and honor any commitments in your order.

We do not promise uninterrupted availability or a particular future feature unless we expressly agree in writing. Keep appropriate backups and export copies of work you need to retain, especially before deleting local data or ending access.

10. Our work and your feedback

ZenMail LLC and its licensors retain their rights in Lodge’s software, design, documentation, and branding. These terms grant the use permissions described above, not ownership of the Services. They do not limit your rights in Your Content.

If you voluntarily send suggestions about Lodge, we may use those suggestions to improve our products without owing compensation. This feedback permission does not include your private workspace content or other confidential information.

11. Suspending or ending access

You can stop using Lodge at any time, subject to the payment and term commitments you accepted. We may restrict or end access for a material breach, overdue payment, or a reasonable security or legal concern. Where practical, we will explain the issue and give you an opportunity to resolve it. Urgent protective action may take effect immediately.

When access ends, your permission to use the affected Services ends. Ask us or your workspace administrator about retrieving information before closing an account. Ending access or deleting an account does not automatically remove every shared record, backup, legal record, or copy held by a connected provider. Our Privacy Policy and any applicable customer agreement explain retention.

Provisions concerning ownership, confidentiality, outstanding payment, liability, and disputes continue where their purpose requires it.

12. Warranties and responsibility

Except for commitments expressly made in a signed agreement and rights the law does not allow us to exclude, the Services are provided “as is” and “as available.” To the extent permitted by law, we exclude implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that AI results will be accurate or that the Services will be free of interruptions or errors.

You decide whether the Services suit your work and are responsible for the use you make of them. Nothing in these terms excludes statutory warranties or consumer remedies that must apply to you.

13. Limits on liability

To the extent the law permits, ZenMail LLC and its personnel and licensors are not liable under this agreement for indirect or consequential losses, lost profits, lost business opportunities, or loss of goodwill arising from the Services.

Unless your signed agreement states otherwise, our aggregate liability for claims relating to the Services is limited to the greater of US$100 or the amount you paid us for the affected Services in the 12 months before the event giving rise to the claim.

These exclusions and limits do not apply to fraud, willful misconduct, or liability that applicable law does not allow us to exclude or limit. They do not take away non-waivable consumer or data-protection rights.

14. Disputes and governing law

Please contact hello@withlodge.com with a description of a dispute so we can try to resolve it. This request does not prevent either party from seeking urgent relief or exercising a right within a legal deadline.

Florida law governs this agreement, excluding rules that would select another jurisdiction’s law. Subject to mandatory rights and any separately signed dispute agreement, courts of competent jurisdiction in Florida will hear disputes relating to these terms. If consumer law entitles you to bring a claim in another court or rely on protections in your place of residence, those rights are preserved.

15. Updates and contact

We may revise these terms for future use of the Services and will update the effective date. We will give notice of material changes through the Services, email, or another reasonable channel and obtain acceptance where required. Changes do not retroactively alter a dispute or override a signed agreement without the required agreement of the parties.

If a provision cannot be enforced, the remaining terms continue to apply. A delay in enforcing a term does not waive it. These terms and the agreements they recognize make up our agreement about the Services.
